Welcome to Protool App. These Terms of Service (“Terms”) govern your access to and use of the Protool App website, applications, AI tools, features, content, and related services (collectively, the “Services”). Protool App is operated by Protools LLP.
By accessing or using Protool App, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.
1. About Protool App

You retain ownership of your User Content, subject to the rights necessary for us and our service providers to provide the Services.
By submitting User Content, you represent that:
- You own the content or have the necessary rights and permissions to use it
- Your submission does not violate applicable laws
- Your submission does not infringe another person’s intellectual property, privacy, or other rights
- You have the authority to provide the content to Protool App
6. License to Process User Content
To operate Protool App, we need permission to process your User Content.
By submitting User Content, you grant Protool App a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, modify where technically necessary, and otherwise use your User Content solely as reasonably necessary to:
- Provide the Services
- Process your requests
- Generate requested outputs
- Store your projects and files
- Maintain and secure the platform
- Troubleshoot technical issues
- Prevent fraud and abuse
- Improve the Services where permitted by applicable law
This license continues only for as long as reasonably necessary for the purposes described above, subject to our Privacy Policy and applicable law.
We do not claim ownership of your User Content merely because you use Protool App.
7. AI-Generated Content
Protool App uses artificial intelligence to generate text, images, videos, music, documents, presentations, designs, and other content.
AI-generated content may be inaccurate, incomplete, biased, inappropriate, or factually incorrect.
You are responsible for reviewing AI-generated content before using, publishing, distributing, or relying on it.
You should not rely on AI-generated content as professional legal, medical, financial, security, or other regulated advice.
Protool App does not guarantee that AI-generated content will:
- Be accurate
- Be original
- Be error-free
- Meet your requirements
- Be suitable for a particular purpose
- Be available at all times
- Not resemble content generated for another user
You are responsible for determining whether generated content is appropriate for your intended use.
8. Ownership of AI Outputs
Subject to applicable law, the rights you may have in AI-generated outputs depend on the nature of the output, the content you provide, the AI technology used, and applicable intellectual property laws.
Protool App does not guarantee that every AI-generated output is eligible for copyright or other intellectual property protection.
You are responsible for determining whether you have the necessary rights to use, publish, commercialize, or distribute an AI-generated output.
Where third-party AI providers impose additional terms or restrictions on generated content, those restrictions may also apply.
9. Copyright and Intellectual Property
The Protool App platform, including its software, design, branding, logos, user interface, features, text, graphics, and underlying technology, is owned by or licensed to Protool App and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not:
- Copy the platform
- Reproduce our branding
- Modify our software
- Distribute our proprietary technology
- Sell or sublicense our Services
- Create derivative versions of our platform
- Attempt to extract proprietary technology or source code
Protool App and its related names, logos, designs, and branding may be trademarks or other protected property of Protool App or its licensors.
10. Third-Party AI Models and Services
Some Protool App features may rely on third-party technologies, AI models, APIs, cloud services, payment providers, authentication services, or other external providers.
These third-party services may have their own terms, privacy policies, limitations, and requirements.
We are not responsible for third-party services that we do not control.
The availability or performance of a Protool App feature may depend on the availability of the underlying third-party service.
11. Free Services and Credits
Protool App may provide free access, trial usage, promotional credits, or other limited features.

Credits may be used to access certain AI features or generate content.

Unless expressly stated otherwise, credits are not cash, cannot be redeemed for cash, and cannot be transferred to another account.
We reserve the right to modify free usage limits and promotional credit programs at any time.
12. Paid Plans and Subscriptions
Certain Protool App features may require a paid subscription or purchase.
Before completing a purchase, you will be shown the applicable price, plan details, credits, billing frequency, or other relevant terms.
Depending on the plan, subscriptions may automatically renew unless cancelled before the applicable renewal date.
You authorize the applicable payment provider to charge the payment method associated with your subscription.
We may change subscription prices in the future. Where required by law, we will provide appropriate notice before material changes take effect.
13. Cancellation and Refunds
You may cancel a subscription according to the cancellation options made available through Protool App or the applicable payment provider.
Cancellation generally prevents future renewal but does not necessarily provide a refund for amounts already charged.
Refunds may be provided where required by applicable law or according to any refund policy communicated to you at the time of purchase.

14. Promotional Offers

15. Prohibited Content
You may not use Protool App to create, upload, process, or distribute content that:

- Promotes serious wrongdoing or illegal activity
- Contains malicious software
- Attempts to defraud or deceive others

- Attempts to manipulate or abuse Protool App’s systems

16. Copyright Complaints
If you believe that content available through Protool App infringes your copyright, you may contact us with information sufficient to identify:
- The copyrighted work
- The allegedly infringing material
- Your contact information
- A statement that you believe the use is unauthorized
- Any other information reasonably necessary for us to review the complaint
We may take appropriate action in response to valid copyright complaints.
17. Availability of the Services
We aim to keep Protool App available and reliable, but we do not guarantee uninterrupted or error-free access.
The Services may occasionally be unavailable because of:

- Updates
- Technical problems
- Network failures
- Security incidents
- Third-party service outages
- High demand
- Events outside our reasonable control

We do not guarantee that:

- The Services will be uninterrupted
- The Services will be error-free
- AI outputs will be accurate
- AI outputs will be suitable for a particular purpose
- Generated content will be unique or original
- The Services will meet every user’s requirements
- Any particular feature will remain available
- Generated content will not infringe the rights of third parties
You are responsible for evaluating the accuracy and suitability of information or content generated through the Services.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Protool App, Protools LLP, its affiliates, officers, employees, contractors, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.
This may include losses related to:
- Lost profits
- Lost revenue
- Lost business opportunities
- Loss of data
- Business interruption
- Loss of reputation
- Reliance on AI-generated content
- Unauthorized access to an account
- Third-party services
To the maximum extent permitted by applicable law, our total liability arising from your use of the Services will be limited to the amount you paid to Protool App for the Services during the period specified by applicable law, or the minimum amount permitted by applicable law where no payment has been made.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
22. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Protool App, Protools LLP, its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:
- Your violation of these Terms
- Your misuse of the Services
- Your User Content
- Your violation of another person’s rights
- Your violation of applicable law
- Your use or distribution of AI-generated content
23. Account Suspension and Termination
You may stop using Protool App at any time.
We may suspend or terminate your account or access to the Services if we reasonably believe that:
- You violated these Terms
- You engaged in fraudulent or abusive activity
- Your use creates a security risk
- Your use may harm other users or Protool App
- We are required to do so by law
- Continued access is no longer commercially or technically feasible
Where appropriate and legally permitted, we may provide notice before termination.
Upon termination, your right to use the Services will end.
Certain provisions of these Terms may continue after termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

These Terms shall be governed by and interpreted in accordance with the applicable laws governing Protools LLP, without regard to conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Services will be handled in accordance with the applicable jurisdiction and dispute-resolution requirements.
If you operate Protool App under a specific state, country, or jurisdiction and want this section to identify a particular governing law and court jurisdiction, that information should be added after legal review.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force to the extent permitted by applicable law.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services or purchases, constitute the agreement between you and Protool App regarding your use of the Services, except where a separate written agreement applies.
