License to Process User Content<\/h2>\n<p>To operate Protool App, we need permission to process your User Content.<\/p>\n<p>By submitting User Content, you grant Protool App a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, modify where technically necessary, and otherwise use your User Content solely as reasonably necessary to:<\/p>\n<ul>\n<li>Provide the Services<\/li>\n<li>Process your requests<\/li>\n<li>Generate requested outputs<\/li>\n<li>Store your projects and files<\/li>\n<li>Maintain and secure the platform<\/li>\n<li>Troubleshoot technical issues<\/li>\n<li>Prevent fraud and abuse<\/li>\n<li>Improve the Services where permitted by applicable law<\/li>\n<\/ul>\n<p>This license continues only for as long as reasonably necessary for the purposes described above, subject to our Privacy Policy and applicable law.<\/p>\n<p>We do not claim ownership of your User Content merely because you use Protool App.<\/p>\n<\/section>\n<section>\n<h2>7. AI-Generated Content<\/h2>\n<p>Protool App uses artificial intelligence to generate text, images, videos, music, documents, presentations, designs, and other content.<\/p>\n<p>AI-generated content may be inaccurate, incomplete, biased, inappropriate, or factually incorrect.<\/p>\n<p>You are responsible for reviewing AI-generated content before using, publishing, distributing, or relying on it.<\/p>\n<p>You should not rely on AI-generated content as professional legal, medical, financial, security, or other regulated advice.<\/p>\n<p>Protool App does not guarantee that AI-generated content will:<\/p>\n<ul>\n<li>Be accurate<\/li>\n<li>Be original<\/li>\n<li>Be error-free<\/li>\n<li>Meet your requirements<\/li>\n<li>Be suitable for a particular purpose<\/li>\n<li>Be available at all times<\/li>\n<li>Not resemble content generated for another user<\/li>\n<\/ul>\n<p>You are responsible for determining whether generated content is appropriate for your intended use.<\/p>\n<\/section>\n<section>\n<h2>8. Ownership of AI Outputs<\/h2>\n<p>Subject to applicable law, the rights you may have in AI-generated outputs depend on the nature of the output, the content you provide, the AI technology used, and applicable intellectual property laws.<\/p>\n<p>Protool App does not guarantee that every AI-generated output is eligible for copyright or other intellectual property protection.<\/p>\n<p>You are responsible for determining whether you have the necessary rights to use, publish, commercialize, or distribute an AI-generated output.<\/p>\n<p>Where third-party AI providers impose additional terms or restrictions on generated content, those restrictions may also apply.<\/p>\n<\/section>\n<section>\n<h2>9. Copyright and Intellectual Property<\/h2>\n<p>The Protool App platform, including its software, design, branding, logos, user interface, features, text, graphics, and underlying technology, is owned by or licensed to Protool App and is protected by applicable intellectual property laws.<\/p>\n<p>Except as expressly permitted by these Terms, you may not:<\/p>\n<ul>\n<li>Copy the platform<\/li>\n<li>Reproduce our branding<\/li>\n<li>Modify our software<\/li>\n<li>Distribute our proprietary technology<\/li>\n<li>Sell or sublicense our Services<\/li>\n<li>Create derivative versions of our platform<\/li>\n<li>Attempt to extract proprietary technology or source code<\/li>\n<\/ul>\n<p>Protool App and its related names, logos, designs, and branding may be trademarks or other protected property of Protool App or its licensors.<\/p>\n<\/section>\n<section>\n<h2>10. Third-Party AI Models and Services<\/h2>\n<p>Some Protool App features may rely on third-party technologies, AI models, APIs, cloud services, payment providers, authentication services, or other external providers.<\/p>\n<p>These third-party services may have their own terms, privacy policies, limitations, and requirements.<\/p>\n<p>We are not responsible for third-party services that we do not control.<\/p>\n<p>The availability or performance of a Protool App feature may depend on the availability of the underlying third-party service.<\/p>\n<\/section>\n<section>\n<h2>11. Paid Plans and Subscriptions<\/h2>\n<p>Certain Protool App features may require a paid subscription or purchase.<\/p>\n<p>Before completing a purchase, you will be shown the applicable price, plan details, credits, billing frequency, or other relevant terms.<\/p>\n<p>Depending on the plan, subscriptions may automatically renew unless cancelled before the applicable renewal date.<\/p>\n<p>You authorize the applicable payment provider to charge the payment method associated with your subscription.<\/p>\n<p>We may change subscription prices in the future. Where required by law, we will provide appropriate notice before material changes take effect.<\/p>\n<\/section>\n<section>\n<h2>13. Promotional Offers<\/h2>\n<p>From time to time, Protool App may offer promotional pricing, bonus credits, trials, discounts, or other special offers.<\/p>\n<p>Promotional offers may be subject to additional conditions and may be modified or discontinued at any time, subject to applicable law.<\/p>\n<p>Unless otherwise stated, promotional offers may not be combined with other offers.<\/p>\n<\/section>\n<section>\n<h2>15. Prohibited Content<\/h2>\n<p>You may not use Protool App to create, upload, process, or distribute content that:<\/p>\n<ul>\n<li>Violates applicable law<\/li>\n<li>Infringes intellectual property rights<\/li>\n<li>Violates another person&#8217;s privacy or publicity rights<\/li>\n<li>Promotes serious wrongdoing or illegal activity<\/li>\n<li>Contains malicious software<\/li>\n<li>Attempts to defraud or deceive others<\/li>\n<li>Facilitates identity theft or unauthorized access<\/li>\n<li>Exploits or sexually abuses minors<\/li>\n<li>Contains non-consensual intimate content<\/li>\n<li>Encourages violence or serious harm<\/li>\n<li>Impersonates another person for fraudulent or harmful purposes<\/li>\n<li>Attempts to manipulate or abuse Protool App&#8217;s systems<\/li>\n<\/ul>\n<p>We may restrict, remove, or investigate content that we reasonably believe violates these Terms or applicable law.<\/p>\n<\/section>\n<section>\n<h2>16. Copyright Complaints<\/h2>\n<p>If you believe that content available through Protool App infringes your copyright, you may contact us with information sufficient to identify:<\/p>\n<ul>\n<li>The copyrighted work<\/li>\n<li>The allegedly infringing material<\/li>\n<li>Your contact information<\/li>\n<li>A statement that you believe the use is unauthorized<\/li>\n<li>Any other information reasonably necessary for us to review the complaint<\/li>\n<\/ul>\n<p>We may take appropriate action in response to valid copyright complaints.<\/p>\n<\/section>\n<section>\n<h2>17. Disclaimer of Warranties<\/h2>\n<p>To the maximum extent permitted by applicable law, Protool App is provided on an &#8220;as is&#8221; and &#8220;as available&#8221; basis.<\/p>\n<p>We do not guarantee that:<\/p>\n<ul>\n<li>The Services will always be available<\/li>\n<li>The Services will be uninterrupted<\/li>\n<li>The Services will be error-free<\/li>\n<li>AI outputs will be accurate<\/li>\n<li>AI outputs will be suitable for a particular purpose<\/li>\n<li>Generated content will be unique or original<\/li>\n<li>The Services will meet every user&#8217;s requirements<\/li>\n<li>Any particular feature will remain available<\/li>\n<li>Generated content will not infringe the rights of third parties<\/li>\n<\/ul>\n<p>You are responsible for evaluating the accuracy and suitability of information or content generated through the Services.<\/p>\n<\/section>\n<section>\n<h2>21. Limitation of Liability<\/h2>\n<p>To the maximum extent permitted by applicable law, Protool App, Protools LLP, its affiliates, officers, employees, contractors, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.<\/p>\n<p>This may include losses related to:<\/p>\n<ul>\n<li>Lost profits<\/li>\n<li>Lost revenue<\/li>\n<li>Lost business opportunities<\/li>\n<li>Loss of data<\/li>\n<li>Business interruption<\/li>\n<li>Loss of reputation<\/li>\n<li>Reliance on AI-generated content<\/li>\n<li>Unauthorized access to an account<\/li>\n<li>Third-party services<\/li>\n<\/ul>\n<p>To the maximum extent permitted by applicable law, our total liability arising from your use of the Services will be limited to the amount you paid to Protool App for the Services during the period specified by applicable law, or the minimum amount permitted by applicable law where no payment has been made.<\/p>\n<p>Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.<\/p>\n<\/section>\n<section>\n<h2>22.
